Please read this agreement carefully before creating an Ellaris Connect account. The terms below apply to portal registration, portal access, and continued use of Ellaris Connect services.

1. Acceptance of this agreement

By creating an account, clicking the acceptance checkbox, or otherwise using Ellaris Connect, you agree to be bound by this Registration and Access Agreement, including the warranty disclaimers and limitation of liability provisions below. If you do not agree, do not register for or use Ellaris Connect.

This agreement applies to the current Ellaris Connect portal and to any updates, revisions, feature releases, or replacement versions Ellaris Connect may provide in the future.

2. Eligibility and authority

You represent that you are at least 18 years old and that you have the legal authority to register for Ellaris Connect on your own behalf or on behalf of the organization identified in the registration form.

If you are registering for an organization, you are responsible for ensuring that all information submitted during registration is accurate, current, and authorized.

3. License and permitted use

Ellaris Connect grants you a limited, revocable, non-exclusive, non-transferable right to access and use the portal only for lawful healthcare claim, report, and related clearinghouse activities authorized by Ellaris Connect.

You may not assign, sublicense, lease, rent, pledge, share, reverse engineer, reverse compile, translate, or otherwise attempt to derive source code from the portal or any related software, except to the limited extent such restriction is prohibited by law.

Any copies of documentation or permitted materials must preserve Ellaris Connect copyright and proprietary notices. Except as expressly allowed in writing, no portion of the portal or related materials may be copied, redistributed, or used for unauthorized commercial exploitation.

4. Account credentials and security

You are responsible for maintaining the confidentiality of your username, password, and any other access credentials associated with your account.

You are responsible for all activity that occurs under your account unless and until you notify Ellaris Connect of unauthorized access and Ellaris Connect has a reasonable opportunity to respond.

Ellaris Connect may suspend or disable an account if account information is inaccurate, access appears unauthorized, or portal use creates operational, legal, or security risk.

5. Customer responsibility for submitted data

You are responsible for the completeness, correctness, format, and quality of all data, files, attachments, demographics, identifiers, codes, and other information submitted through Ellaris Connect.

Good data processing practice requires that software and workflows be tested with non-critical data before relying on them for live production activity. You are responsible for maintaining backups, verifying submitted information, reviewing output, and adopting procedures to identify and correct errors, omissions, corrupted data, or transmission issues.

Ellaris Connect does not assume responsibility for claim content, payer enrollment status, payer edits, downstream payer adjudication, or payment outcomes.

6. Third-party recipients and processing

Ellaris Connect may be used to route or prepare healthcare claims or related files for submission to third-party recipients such as insurers, payers, government programs, claims clearinghouses, or other trading partners. Those third-party recipients are not parties to this agreement.

Ellaris Connect does not guarantee that information submitted through the portal will be accepted, processed, acknowledged, or acted upon by any third-party recipient.

Ellaris Connect does not make any warranty or representation regarding timeframes for processing, routing, acknowledgment, transfer, or delivery of customer data to or from third-party recipients.

7. Fees and economic rights

Portal registration itself may be offered without a separate access fee in some situations. Any separate service fees, implementation fees, monitoring fees, or other charges are governed by Ellaris Connect pricing, order forms, statements of work, or other written agreements.

If Ellaris Connect receives fees from third parties in connection with submitted transactions, you do not obtain any ownership interest in those fees, and you have no right to any residual fees, data monetization rights, or downstream economic rights arising from portal submissions unless Ellaris Connect expressly agrees otherwise in writing.

8. Proprietary rights

Ellaris Connect and all related software, content, workflows, designs, text, images, graphics, reports, interfaces, and documentation are proprietary to Ellaris Connect or its licensors and are protected by applicable intellectual property laws.

This agreement gives you only a limited right to use the portal. It does not transfer to you any ownership interest in the portal, software, documentation, or related intellectual property.

9. Feedback and submissions

If you send Ellaris Connect suggestions, ideas, feedback, enhancement requests, comments, or other submissions relating to the portal or related services, you agree that Ellaris Connect may use them without restriction and without any duty of confidentiality, compensation, or attribution, unless a separate written agreement says otherwise.

You grant Ellaris Connect a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license, with the right to sublicense, to use, copy, modify, distribute, display, perform, and create derivative works from such feedback or submissions for any lawful business purpose.

10. No warranties

Ellaris Connect is provided on an AS IS and AS AVAILABLE basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by law, Ellaris Connect disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, and any warranties arising from course of dealing, course of performance, or usage of trade.

Although Ellaris Connect may choose to address defects or malfunctions through reasonable corrective efforts based on priorities and available resources, Ellaris Connect has no obligation to correct every error, interruption, or incompatibility.

11. Limitation of liability

To the fullest extent permitted by law, Ellaris Connect and its suppliers, owners, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost savings, lost revenue, lost data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

Ellaris Connect shall not be liable for the correctness or quality of customer-submitted data, for failures or delays caused by third-party recipients, or for whether submitted information is ultimately processed, acknowledged, adjudicated, or paid.

If liability is imposed despite the limitations in this agreement, the aggregate liability of Ellaris Connect arising out of or relating to portal registration or use shall not exceed the amount, if any, paid directly by you to Ellaris Connect for the specific portal access or service giving rise to the claim during the three months immediately preceding the event at issue.

12. Term, suspension, and termination

This agreement becomes effective when you accept it and continues for as long as you access or use Ellaris Connect, unless earlier terminated.

Ellaris Connect may suspend, restrict, or terminate portal access at any time, with or without notice, if Ellaris Connect reasonably believes the account is being misused, creates operational or compliance risk, or violates this agreement or applicable law.

Termination or suspension does not eliminate obligations that by their nature should survive, including provisions relating to proprietary rights, disclaimers, limitation of liability, governing law, and prior uses of the portal.

13. Governing law and general terms

This agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

If any provision of this agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

Failure by either party to enforce any right under this agreement will not operate as a waiver of that right or of any later breach.

Ellaris Connect may update this agreement from time to time. Continued use of the portal after an updated version becomes effective constitutes acceptance of the revised agreement.
